Terms and Conditions
Article 1 — Purpose
These Terms and Conditions govern the provision of training and mentorship services by InsPyration EURL, registered at 138 rue Frederic Mistral, 34400 Lunel-Viel, France (hereinafter "the Provider"), to any natural or legal person placing an order for services (hereinafter "the Client"). Any engagement of services implies full and unreserved acceptance of these Terms.
Article 2 — Training Services
The Provider offers professional training and mentorship services in Python programming, web development, and related technologies. The precise scope, content, duration, and delivery format for each training engagement are defined in a specific proposal agreed upon by both parties prior to commencement. Training is delivered in person (on-site or at a designated venue) or remotely as agreed.
Article 3 — Registration and Confirmation
Training registrations are confirmed upon receipt of a signed proposal or purchase order from the Client. The Provider reserves the right to cancel or postpone a public training session if the minimum number of participants (3) is not reached at least ten (10) business days before the scheduled start date. In such cases, registered participants will be offered an alternative date or a full refund.
Article 4 — Pricing
Prices are quoted in euros and are exclusive of tax unless otherwise stated. The applicable VAT rate will be added to the pre-tax amount. Quotes are valid for thirty (30) calendar days from their date of issue. The Provider reserves the right to revise its rates at any time; however, services will be invoiced at the rate agreed upon in the accepted proposal.
Article 5 — Payment Terms
Invoices are payable within thirty (30) days of the invoice date, by bank transfer to the account specified on the invoice. In the event of late payment, a penalty equal to three times the legal interest rate will be applied automatically, along with a fixed recovery fee of forty (40) euros, in accordance with applicable French law.
Article 6 — Cancellation Policy
The Client may cancel a training registration free of charge up to fifteen (15) business days before the scheduled start date. Cancellations received between fifteen (15) and five (5) business days before the start date will incur a fee of fifty percent of the total training price. Cancellations received less than five (5) business days before the start date, or no-shows, will be invoiced in full. The Client may substitute a different participant at any time without additional charge.
Article 7 — Liability
The Provider commits to performing its services with due care and professional diligence. This constitutes an obligation of means, not of result. The Provider shall not be held liable for any indirect damages, including but not limited to loss of revenue, data loss, or business interruption. The Provider's total liability under any engagement shall not exceed the total amount invoiced for the services in question.
Article 8 — Intellectual Property
All training materials, course content, exercises, and documentation provided during training sessions remain the intellectual property of the Provider. The Client receives a non-exclusive, non-transferable right to use these materials for internal purposes only. Reproduction, distribution, or resale of training materials is strictly prohibited without prior written consent from the Provider.
Article 9 — Confidentiality
Both parties undertake to treat as confidential all information exchanged in the course of their collaboration, whether technical, commercial, or financial. This obligation of confidentiality remains in effect for a period of two (2) years following the end of the engagement, unless the information becomes publicly available through no fault of the receiving party.
Article 10 — Applicable Law
These Terms and Conditions are governed by French law. In the event of a dispute arising from the interpretation or execution of these Terms, the parties shall first seek an amicable resolution. Failing that, the dispute shall be submitted to the competent courts of Montpellier, France.
